Terms of Service.

The agreement between you and Quoth GM.

Agreement Overview

These are the rules for using Quoth GM. By creating an account, you agree to follow them. Please read the plain-language summaries before each section so you understand what you're agreeing to.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and NovaEventus ECM, LLC, a Washington limited liability company doing business as Quoth GM ("Quoth GM," "we," "us," or "our"), governing your access to and use of the Quoth GM application and website located at quothgm.com (the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including Game Master subscribers ("GMs") and player account holders ("Players").

1. Who May Use This Service

You must be at least 18 years old to create a Quoth GM account, whether you are a paying GM or a free player.

1.1 Eligibility. You must be at least eighteen (18) years of age to create an account or use the Service. By creating an account, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into a binding agreement.

1.2 Geographic Scope. The Service is operated from the United States. We make no representation that the Service is appropriate or available in other locations. Users who access the Service from outside the United States do so at their own risk and are responsible for compliance with applicable local laws.

1.3 Account Integrity. You represent that all information you provide when creating an account is accurate, current, and complete, and you agree to maintain the accuracy of such information.

2. Account Types and Registration

There are two types of accounts: GM accounts (paid) and Player accounts (free, by invitation only). GMs control their campaigns and all content within them. Players are guests of the GM.

2.1 GM Accounts. Game Master accounts are created through the subscription process described in Section 3. GMs are the account holders of record and are responsible for all activity that occurs within their account, including the conduct of players they invite.

2.2 Player Accounts. Player accounts are created by invitation of a subscribing GM. Player accounts are free of charge. A Player account is contingent upon a valid GM invitation and does not require independent payment. Players may participate in campaigns hosted by multiple GMs simultaneously.

2.3 Assistant GM Accounts (Post-Beta Feature). Following the initial beta release, Pro tier subscribers will have the ability to designate one or more Assistant Game Masters ("Assistant GMs") for their campaigns. Assistant GM accounts are provided at no additional charge to the Assistant GM. All content created or managed by an Assistant GM within the campaign is subject to the subscribing GM's ownership and control as described in Section 4.

2.4 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You may not share your account credentials with any other person. You agree to notify us immediately at info@quothgm.com if you become aware of any unauthorized use of your account.

2.5 One Account Per Person. Each individual may hold only one account of each type. Creating multiple accounts to circumvent subscription limits or any other restriction is a violation of these Terms.

3. Subscriptions and Billing

GMs pay a subscription to use Quoth GM. There are two tiers — Hobby and Pro — available monthly or annually. Your subscription renews automatically. You can cancel anytime and keep access until the end of the period you paid for. We will give you 30 days' notice before any price increase.

3.1 Subscription Tiers. Quoth GM offers two paid subscription tiers for GM accounts: Hobby and Pro. Each tier is available on a monthly or annual billing cycle. Current pricing is displayed at checkout and on the pricing page at quothgm.com/pricing. Player accounts are provided free of charge and do not require a subscription.

3.2 Free Trial. New GM accounts receive a thirty (30) day free trial upon registration. At the conclusion of the trial period, your account will automatically convert to a paid subscription at the rate of the tier you selected.

3.3 Automatic Renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate for your selected tier unless cancelled prior to the renewal date.

3.4 Cancellation. You may cancel your subscription at any time through your account page or by contacting us at info@quothgm.com. Cancellation takes effect at the end of your current paid billing period. No partial refunds are issued for unused time within a monthly billing period.

3.5 Effect of Cancellation or Lapse. Upon expiration of your paid subscription period, your GM account will transition to a read-only state. Your data is retained indefinitely. You may restore full access at any time by resubscribing.

3.6 Player Access During GM Lapse. Players invited to a GM's campaign retain access to their own player-facing content during any period in which the GM's subscription has lapsed.

3.7 Refunds. All refund requests are evaluated on a case-by-case basis. Monthly subscriptions are not eligible for prorated refunds. Annual subscriptions that are cancelled may be eligible for a prorated refund calculated as one-twelfth of the amount paid multiplied by the number of whole months remaining. 3.8 Price Changes. We will provide no less than thirty (30) days' advance notice of any price change via notice on your account page and login page.

3.9 Payment Processing. All payments are processed by Stripe, Inc. Quoth GM does not store your payment card information.

4. User Content and Intellectual Property

You own your creative work. Quoth GM needs a limited license to store and display it so the app can function — that's all we take. Quoth GM's app, design, and software belong to us.

4.1 Ownership of User Content. You retain all intellectual property rights in the original creative content you submit to the Service, including world-building material, campaign content, codex entries, session logs, written descriptions, and original images ("User Content"). These Terms do not transfer ownership of your User Content to Quoth GM.

4.2 License to Quoth GM. By submitting User Content to the Service, you grant NovaEventus ECM, LLC a non-exclusive, royalty-free, worldwide license to store, reproduce, and display your User Content solely for the purpose of operating and providing the Service to you and the users you authorize. This license terminates when your content is deleted from the Service.

4.3 GM Control of Account Content. The subscribing GM controls all content within their account, including content contributed by Players and Assistant GMs. The GM may delete any content within their account at any time.

4.4 Public Codex Entries. GMs may designate individual codex entries as publicly accessible. By marking content as public, you represent and warrant that you have all necessary rights to publish that content. Quoth GM assumes no responsibility for any third-party intellectual property claims arising from content a GM has published.

4.5 Quoth GM Intellectual Property. The Quoth GM application, website, design, software, trademarks, and all content produced by Quoth GM (excluding User Content) are the exclusive property of NovaEventus ECM, LLC.

4.6 Copyright Infringement. Our policy with respect to copyright infringement claims is set forth in our DMCA policy at quothgm.com/dmca.

5. Privacy and Communications

We collect information to run the service. We do not sell your data and we never will. You can manage your email preferences on your account page.

5.1 Privacy Policy. Your use of the Service is also governed by our Privacy Policy at quothgm.com/privacy, which is incorporated into these Terms by this reference.

5.2 Transactional Communications. Quoth GM will send you transactional emails related to your account. These communications are part of the Service and cannot be opted out of while your account is active.

5.3 Marketing and Notification Communications. With your consent, Quoth GM may also send you marketing emails, product announcements, and GM-initiated notifications. You may opt out of each independently through your account settings.

6. Acceptable Use

You agree to use Quoth GM responsibly and legally. The full list of prohibited behaviors is in our Acceptable Use Policy, which is part of this agreement.

6.1 Acceptable Use Policy. Your use of the Service is subject to our Acceptable Use Policy at quothgm.com/acceptable-use, which is incorporated into these Terms by this reference. Violation of the Acceptable Use Policy is a violation of these Terms.

6.2 General Conduct. You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of any third party.

6.3 GM Responsibility. GMs are responsible for the content of their campaigns and the conduct of players they invite.

7. Termination and Suspension

We can suspend or terminate accounts that violate our rules. If your account is terminated for breaking the rules, you are not entitled to a refund. If you think we made a mistake, you can appeal by emailing us.

7.1 Termination by Quoth GM. Quoth GM reserves the right to suspend, restrict, or terminate your account, with or without notice, at our sole discretion, including but not limited to cases involving violation of these Terms or the Acceptable Use Policy.

7.2 Effect of Termination for Cause. If your account is terminated due to a violation of these Terms or the Acceptable Use Policy, you will not be entitled to a refund of any subscription fees paid.

7.3 Termination by User. You may close your account at any time through your account settings or by contacting us at info@quothgm.com.

7.4 Appeals. If you believe your account was suspended or terminated in error, you may submit an appeal by emailing info@quothgm.com.

8. DMCA and Copyright Policy

If you believe someone has uploaded content that infringes your copyright, you can send us a formal takedown notice. Instructions are on our DMCA page.

8.1 DMCA Compliance. Quoth GM complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) and responds to valid notices of claimed copyright infringement.

8.2 Designated Agent. Our designated DMCA agent: NovaEventus ECM, LLC / Quoth GM, Attn: DMCA Agent, PO Box 29, Loon Lake, WA 99148. Email: dmca@quothgm.com.

8.3 Repeat Infringer Policy. Quoth GM will terminate the accounts of users who are determined to be repeat infringers of third-party intellectual property rights.

8.4 Counter-Notices. Complete instructions are available at quothgm.com/dmca.

9. Disclaimers

Quoth GM is provided as-is. We do our best to keep it running reliably, but we cannot guarantee the service will be available at all times.

9.1 No Warranty. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUOTH GM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Service Availability. Quoth GM does not warrant that the Service will be uninterrupted or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time.

10. Limitation of Liability

If something goes wrong, the most Quoth GM can owe you is the amount you paid us in the past 12 months. This is standard for subscription software.

10.1 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVAEVENTUS ECM, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

10.2 Cap on Liability. IN NO EVENT SHALL QUOTH GM'S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT YOU PAID TO QUOTH GM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

11. Dispute Resolution

Disputes will be resolved through binding arbitration under Washington State law, not a jury trial, unless the dispute qualifies for small claims court.

11.1 Governing Law. These Terms shall be governed by the laws of the State of Washington.

11.2 Informal Resolution. Before initiating any formal dispute process, you agree to contact us at info@quothgm.com with a written description of the dispute. The parties will attempt informal resolution for thirty (30) days.

11.3 Binding Arbitration. Unresolved disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

11.4 Small Claims Exception. Either party may bring an individual claim in small claims court in Stevens County, Washington, if the claim qualifies.

11.5 Class Action Waiver. YOU AND QUOTH GM AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY CLASS ACTION.

12. Changes to These Terms

We may update these Terms. Material changes get 30 days' notice through your account page and the login page.

12.1 Modifications. For material changes, we will provide no less than thirty (30) days' advance notice by posting a prominent notice on your account page and the login page.

12.2 Acceptance of Changes. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. General Provisions

Standard legal housekeeping — what happens if part of this agreement is unenforceable, and how to contact us for legal notices.

13.1 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

13.2 Entire Agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Quoth GM with respect to the Service.

13.3 No Waiver. The failure of Quoth GM to enforce any right shall not constitute a waiver of that right.
